Intellectual property rights in client deliverables vest in the Client only upon receipt by 360 Smart Solutions Limited of full and cleared payment for the relevant services. Prior to payment being received in full, all rights remain vested in 360 Smart Solutions Limited absolutely.

Where third-party licensed content, stock imagery, fonts, or software has been incorporated into a deliverable, the rights to that content remain with the respective third-party owner and are subject to the applicable licence terms. It is the Client’s responsibility to ensure that any third-party content incorporated into their deliverables is appropriately licensed for their intended use.

6. Our proprietary methodologies and know-how

360 Smart Solutions Limited has developed a range of proprietary processes, analytical frameworks, audit methodologies, strategic templates, and operational know-how in the course of conducting our business (“our Proprietary IP”). Our Proprietary IP is not transferred or licensed to clients at any point, whether or not it is used in the delivery of their services.

Our Proprietary IP includes, without limitation:

• SEO audit frameworks, scoring methodologies, and evaluation criteria
• Content strategy templates, briefing structures, and editorial frameworks
• Internal reporting formats, dashboard designs, and data presentation tools
• Onboarding and project management processes and documentation
• Training materials, intern programmes, and internal quality control systems

The fact that our Proprietary IP may inform or underpin a client deliverable does not transfer any rights in that IP to the client. Clients receive the output of our work; they do not acquire any rights in the processes used to produce it.

7. Reporting intellectual property infringement

We take the protection of intellectual property — both our own and that of third parties — seriously.
